BalanceUp End User License Agreement (EULA)

1. Introduction

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and QuailSofts LLC ("Company," "we," "our," or "us"), the owner and operator of the BalanceUp mobile application ("App"). By downloading, installing, or using BalanceUp, you agree to be bound by this Agreement. If you do not agree, do not use the App.

2. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely for personal, non-commercial purposes in accordance with this Agreement and our Terms of Service.

You may:

• Install and use the App on your personal mobile device(s).
• Access features and content as provided by BalanceUp.

You may not:

• Reverse engineer, decompile, or disassemble the App.
• Copy, distribute, or modify any part of the App.
• Rent, lease, sell, or sublicense the App or its content.
• Use the App for unlawful, misleading, or abusive purposes.

3. Ownership

All rights, title, and interest in the App—including all content, software code, features, designs, trademarks, and related materials—remain the property of QuailSofts LLC and its licensors. This Agreement does not transfer any ownership rights to you.

4. Account & Access

To use certain features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and any activity under your account. We reserve the right to suspend or terminate your access if you violate this Agreement or our other policies.

5. Subscription & Payments

BalanceUp offers subscription plans (e.g., monthly or yearly). By subscribing, you authorize app store billing according to the plan selected.

• Prices, features, and terms are described in the app store listing.
• Subscriptions renew automatically unless canceled through your app store account settings before the renewal date.
• Refunds are handled in accordance with Apple App Store or Google Play policies.

6. User Content

You retain ownership of any content you post (e.g., forum discussions, comments, images), but you grant BalanceUp a worldwide, royalty-free license to display, modify, and distribute your content within the community and for promotional purposes consistent with our Privacy Policy.

You are solely responsible for your content and agree not to upload, post, or transmit any material that:

• Contains objectionable, offensive, hateful, or explicit material;
• Promotes violence, discrimination, harassment, or abuse;
• Encourages illegal activity or provides financial misinformation; or
• Infringes on the intellectual property rights or privacy of others.

7. No Tolerance for Objectionable Content or Abusive Users

BalanceUp maintains a zero-tolerance policy toward objectionable content and abusive behavior.

This includes but is not limited to:

• Hate speech, harassment, bullying, or threats;
• Discrimination or derogatory remarks based on race, gender, sexual orientation, religion, or disability;
• Obscene, sexually explicit, or violent content;
• Fraudulent or deceptive activity; and
• Any conduct that disrupts the community or endangers others.

Users who engage in such behavior will be immediately suspended or permanently banned without prior notice. We reserve the right to remove objectionable content, terminate accounts, and report violations to the appropriate authorities when necessary.

8. Privacy & Data Collection

Our collection and use of your data are governed by our Privacy Policy, available within the App and at www.balanceupapp.com/privacy. By using the App, you consent to the processing of your data as described in that policy, including data necessary for analytics, subscriptions, and service improvement.

9. Updates & Maintenance

We may provide updates, patches, or new versions to improve functionality or security. You agree that such updates may be automatically installed. We are not obligated to maintain or support the App beyond applicable app store requirements.

10. Third-Party Services

The App may integrate third-party APIs or services (e.g., Plaid, Firebase, OpenAI). You agree to be bound by their respective terms when using such features. We are not responsible for third-party content, services, or failures.

11. Disclaimer of Warranties

The App is provided "AS IS" and "AS AVAILABLE," without warranties of any kind. We do not guarantee that the App will be error-free, secure, or uninterrupted. Your use of the App is at your sole risk. To the fullest extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, QuailSofts LLC shall not be liable for any indirect, incidental, consequential, or special damages arising from your use or inability to use the App. In no event shall our total liability exceed the amount you paid (if any) for using the App during the twelve (12) months preceding the claim.

13. Termination

This Agreement remains in effect until terminated. You may terminate it by deleting the App and discontinuing use. We may suspend or terminate your access without notice if you violate any terms herein. Upon termination, all license rights immediately cease, and you must delete all copies of the App from your device(s).

14. Governing Law

This Agreement is governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of laws principles. Any disputes shall be resolved in the courts of Virginia Beach, VA.

15. Changes to This Agreement

We may update this Agreement from time to time. Continued use of the App after updates constitutes acceptance of the revised terms.
